TERMS & CONDITIONS OF WEBSITE USE

Loloi, Inc. d/b/a Loloi Rugs provides website features, information and products through Loloirugs.com (Loloi Rugs Services). Loloi Rugs provides Loloi Rugs Services subject to the following conditions. By using Loloirugs.com and/or Loloi Rugs Services, you are agreeing to these Terms and Conditions of Website Use (Terms & Conditions). The Terms and Conditions shall apply to all orders, purchases and other business transacted by or through the Loloirugs.com website and shall become part of any contractual agreement with Loloi, Inc. d/b/a Loloi Rugs arising out of this website’s use. By submitting an application to become a dealer through Loloirugs.com (Become a Dealer form), the dealer applicant is agreeing that these Terms & Conditions will govern its full relationship with Loloi Rugs and will apply to all orders, purchases and other business transactions between the dealer and Loloi Rugs, regardless of how those orders, purchases and other transactions are initiated. The Terms & Conditions are also meant to supplement the original terms and conditions agreed to by some dealers in connection with their earlier dealer application process. To the extent these Terms & Conditions conflict with the original terms and conditions for dealers, these Terms and Conditions shall govern.



Terms of Payment. All new accounts are set up as prepaid. Checks, credit cards, ACH payments and wire transfers are accepted for prepaid accounts. We accept Visa, MasterCard, American Express and Discover. Terms are available upon approval with a $5,000 minimum opening order and approved annual minimums. A completed and signed credit application must be submitted with your initial order. Loloi may withdraw credit terms on future purchases for any reason in its sole discretion. All invoices are sent via electronic mail and it is the account holder's responsibility to contact AR@loloirugs.com to maintain a current accounts payable contact email on file. If Loloi refers an account to a third party for collection for non-payment of amounts due, customer will be responsible for all costs, fees, charges, interest, expenses and attorney's fees that accrue as a result of those collection efforts.

Delivery. If no ship date is specified, in stock items will be shipped asap after the order is placed and payment terms have been approved by Loloi Rugs. Automatic acknowledgment is sent if a confirmation email address has been provided. No other notification will be sent.

Backorders. Once an order is processed, your order acknowledgement will indicate backordered status with ETA information. The ETA is an estimate and no guarantee is made as to when the backorders will be available to ship. Back orders will be shipped immediately upon arrival without additional notice. It is your responsibility to notify Loloi in writing to request a cancellation of back orders prior to their arrival at Loloi.

Cancellations. Once an order is placed any cancellations must be submitted in writing prior to shipment. Once shipped, all cost of returning the goods is the responsibility of the customer.

Shipping. All shipments are FOB Dallas or FOB Cartersville. We reserve the right to use our own discretion as to the carrier to be used on any shipment. All efforts will be made to use the most cost effective shipping method with Federal Express being our preferred carrier. Customer’s preferred carrier will be used if customer submits an account number for said carrier and agrees to assume all responsibility for transportation costs and shipping damage claims. Please note: If you request to change the shipping address after the order has shipped, we can try to accommodate that request, but it will incur a reconsignment fee of $124 in addition to carrier charges.

Shipping Damage. All packages must be inspected upon arrival. Loloi must be notified of any damages, shortages, or discrepancies immediately and in all cases within 7 days of delivery. Claims are to be submitted by the responsible party to the carrier

Defects. All shipments should be inspected immediately upon arrival and any defects should be reported immediately to Loloi Rugs via Return Merchandise Authorization Form submitted to customerservice@loloirugs.com. Loloi Rugs will process an order for replacement, upon customer’s request, and issue a return authorization (RMA) and call tag for the defective merchandise. Loloi Rugs will only accept a defect claim within 7 days of the date of delivery. If upon return Loloi Rugs determines that damage is due to usage and not a manufacturing defect, the customer will be responsible for the cost of the rug plus all shipping charges.

Returns (Non-defect). Rugs: No returns will be accepted without a Return Materials Authorization (RMA) issued by Loloi Rugs. All returns will be credited to customer’s account with Loloi Rugs and refunds are not automatically issued. All shipping charges will be the responsibility of the customer. All unauthorized returns will be refused and returned at sender’s expense. Loloi Rugs will only accept returned merchandise within 30 days of delivery. There is a 20% restocking fee on all returns. Pillows, Throws, Poufs, Wall Art and Samples: Please select carefully. Loloi does not accept returns for pillows, throws, poufs, wall art and samples. All unauthorized returns will be refused and returned at sender’s expense.

RMA Request. RMA requests may now be submitted by logging into your account and processing a return request online, or by obtaining a copy of the form from (and then submitting it back to) customerservice@loloirugs.com.

Purchase and Promotion of Licensed Products. Loloi Rugs has teamed with certain highly talented and influential design collaborators (“Licensors”) to create, market and sell rugs, decorative accent pillows, decorative throws and wall art under the design collaborators’ brands (“Licensed Products”). Customer's purchase of certain Licensed Products may be contingent on passing a screening and may require minimum buy-ins. Licensor and Loloi Rugs may provide Purchaser with access to and use of pre-approved advertising materials in the form of electronic files containing photographic art and other promotional materials, which, subject to the restrictions stated herein, Purchaser may use for display or promotion in their unmodified form only, unless such modifications are approved by Licensor’s marketing team prior to their use. Any modification of pre-approved artwork or promotional material, or any original artwork or promotional material for Licensed Product must be approved by the respective Licensor’s marketing team through your Loloi Rugs contact, Cyrus Loloi (info@loloirugs.com), prior to its use. Purchaser must obtain prior approval for any press releases referencing Licensed Products or Licensor’s brand. Licensed Products must be referred to in a co-branded manner (e.g. Licensor x Loloi) online & offline and no private labeling is permitted.

Enforcement of Advertising Asset Restrictions. Purchaser’s failure to comply with any of these requirements and restrictions will be grounds for limitation or termination of Purchaser’s right to purchase the Licensed Products in the future and may result in Purchaser being required to immediately cease all marketing and promotional activities related to Licensed Products and Licensor’s brand, at Licensor’s and Loloi’s sole discretion.

Invoices. Purchases are further governed by Loloi Rugs’ terms of sale as specified on Loloi Rugs’ invoices and the sums of each invoice are due and payable, in US funds, on the due date specified in such invoices.

Prior Credit Applications. These Terms and Conditions shall not supersede or alter promises or obligations of the Purchaser or credit applicant regarding the guaranteeing of payment in connection with the submission of a credit application to Loloi Rugs.
